简介：《自由现金流的过度投资:基于上市公司治理机制和地区制度环境的研究(附赠光盘1张)》主要内容：有效的投资是经济增长的源泉，而微观层次上企业的投资行为是公司财务理论研究的重要主题。Modigliani和.Miller（1958）确立了企业投资行为的一个基准，即在完美的资本市场下，企业的投资行为只与投资机会有关。但是，后续大量的理论和经验文献发现，企业的投资行为与现金流相关。自Fazzari，Hubbard和Petersen（1988）之后，大量文献在不同的背景下使用不同的方法考察了投资现金流敏感性及其影响因素。但这些研究都无法确定，这种投资现金流敏感性来自于信息不对称还是来自于代理问题，同时也无从确定各种因素对投资现金流敏感性的影响是通过降低信息不对称还是通过减轻代理问题实现的。 中国经济经过多年的高速增长后，需要从投资的数量向投资的质量转变。近年来投资的高速增长使政府、学术界和实务界开始关注是否存在过度投资的问题。而这种投资的高速增长很大部分来自于企业自身利润的投资（Hofman和Kuijs，2006）。《自由现金流的过度投资:基于上市公司治理机制和地区制度环境的研究》的数据分析也表明，内部融资已成为企业投资的重要资金来源。 因此，从理论和实务两个角度而言，研究企业的自由现金流的过度投资都很有必要。 以中国2000—2004年的非金融上市公司为样本，《自由现金流的过度投资——基于上市公司治理机制和地区制度环境的研究》首先借鉴Richardson（2002）的研究方法构造出自由现金流和过度投资的计量。在此基础上，一方面，按一般公司治理研究的思路，考察了包括股权集中度、机构投资者、高管持股、董事会规模、独立董事和两职合一对自由现金流的过度投资的影响及其机制；另一方面，鉴于在作为转型经济的中国，制度环境对公司行为有重要的影响，《自由现金流的过度投资:基于上市公司治理机制和地区制度环境的研究》考察了地方政府控制、地方政府干预和金融发展对自由现金流的过度投资的影响及其机制。《自由现金流的过度投资:基于上市公司治理机制和地区制度环境的研究》通过集中于自由现金流为正的样本企业而可通过代理理论解释所发现的现象，避免了以往研究中无法区分竞争假设的问题。 最后，《自由现金流的过度投资:基于上市公司治理机制和地区制度环境的研究》也分析了过度投资的经济后果。 通过理论分析和经验研究，《自由现金流的过度投资:基于上市公司治理机制和地区制度环境的研究》有如下一些发现： 一、正自由现金流企业的过度投资要比负自由现金流企业的过度投资行为严重。
