简介：《制度环境会计信息质量与资本配置》内容简介：公司资本配置是一个长期被忽略的问题，大多数的研究都将视角集中于股票市场的资本配置功能，意味着股票价格会自动引导公司资本配置，从而实现社会资源的帕累托配置。然而，公司盈余数字具有增量的信息含量（Ball & Brown，1968），理论上盈余应该可以提供公司基本面的增量信息来补充股票价格引导公司资本配置的功能。因此，如何把握公司资本配置理论在近二十年的最新发展，如何运用会计学的基本理论来诠释“经济越发达，会计越重要”这句至理名言?在我做清华大学博士后合作研究的两年里，这些问题一直萦绕在我的心里，困扰着我，也吸引着我。一种无形的动力激励着我把一些想法和观点进行梳理，进一步加以深化、完善，并使之系统化。 在有效资本市场条件下，托宾Q理论认为托宾Q应该是公司投资的充分统计量（Hayashi，1982），但是控制托宾Q后，公司投资与现金流量等会计变量间的相关性并非意味着这些会计变量具有信息作用，相反其常被诠释为资本市场摩擦，如融资约束的证据（Fazzari et al.，1988）。越来越多的研究发现，股票价格不仅受公司基本面信息所驱动，而且也会受市场套利力量无法消除的时尚（fads and fashions）所驱动（Shleifer & Vishny，1997），从而使得这种噪声会相应削弱股票价格自动引导公司资本配置的功能。斯隆（Sloan，2001）指出，财务报告系统是影响资本配置效率的一种重要的经济制度安排，其原因在于财务报告能够为资本供给者提供关于管理层经营绩效的主要信息渠道，从而有助于其及时向管理层和外部投资者传递日益变化的投资机会信息，促使自利的管理层实施价值最大化的投资项目（Bushman et al.，2006）。布希曼和史密斯（Bushman & Smith，2001）指出，会计领域中治理研究的主要目标是证实会计报告系统提供的会计信息能在多大程度上缓减公司管理层和股东间因两权分离所引起的代理冲突，同时又能便利稀缺的人力和金融资本有效地流向前景好的投资项目。赵宇龙（1998）和陈晓等（1999）相继实证发现，中国上市公司盈余数字具有很强的信息含量，意味着会计报告系统会通过提供公司基本面的增量信息来补充股票价格引导中国上市公司资本配置的功能。由于资本投资是公司赖以生存和为股东创造财富的最终驱动力，所以结合中国新兴加转轨的制度背景，透过公司投资决策，首先深入地研究会计信息引导中国上市公司资本配置的作用机制，其次挖掘影响会计信息提高中国上市公司资本配置效率的制度因素，以构造出一个基于中国新兴加转轨制度背景研究会计信息和公司资本配置的扩展分析性框架。最后运用中国上市公司经验数据进行各种分析和检验，以佐证《制度环境会计信息质量与资本配置》的思想和理论观点。 《制度环境会计信息质量与资本配置》主要从理论和实证两方面来具体阐述上述思路。观点可简单归纳如下： 第1章，简要地阐述了研究动机、研究动态、研究方法以及逻辑创新点。 第2章，主要是从国内外的文献出发，首先阐述股票价格和会计信息引导公司资本配置的作用；其次综述国内外度量公司资本配置效率的实证方法；最后述评国内外的实证研究，并指出其中的不足之处和未来的发展方向。 第3章，基于前面的研究成果，结合中国新兴加转轨的制度背景，透过公司投资决策，系统地扩展了布希曼和史密斯（2001）的研究框架，深入地诠释了会计信息引导中国上市公司资源配置的作用机制，挖掘了影响高质量会计信息提高中国上市公司资源配置效率的制度因素，从而较全面地构造出一个基于中国制度背景研究会计信息和公司资源配置的扩展分析性框架，进而提出相应的可检验假设。 第4章，回顾和评论了国内外会计信息质量的具体度量方法，然后基于应计利润是公司未来现金流量估计、盈余重要性及损失会计确认及时性的治理效应等基本思想，并以公司公布的财务报表信息为基础，且运用迪乔与迪切夫（Dechow & Dichev，2002）模型、巴塔查亚等（Bhattacharya et al.，2003）“收益不透明度”（earning opacity）指标体系以及鲍尔和什瓦库马（Ball & Shivakumar，2005）“损失确认应计”模型等构建一个度量中国特定上市公司的会计信息质量指数。 第5章，主要是样本选择、数据来源与研究变量设计。 第6章，基于中国新兴加转轨的制度背景研究会计信息和公司资本配置的扩展分析性框架，同时运用中国上市公司经验数据进行实证检验。结果发现：①高质量会计信息与上市公司投资不足和过度显著负相关，其中应计质量和盈余平滑性最为重要；②高质量会计信息与私人产权控股、国有资产管理部门和地方所属国有企业控股上市公司的投资过度显著负相关；③高质量会计信息与私人产权控股投资不足显著负相关；④会计信息质量与公司投资不足或过度的负相关性在高审计质量公司更明显；⑤地区投资者保护程度越低，公司投资不足程度越严重，那么高质量会计信息与公司投资不足负相关性越强。 第7章，总结《制度环境会计信息质量与资本配置》的基本观点、局限性、政策建议及研究展望。
